1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and VeriMatter Inc. ("VeriMatter," "we," "us," or "our") governing your access to and use of the VeriMatter platform, website, and related services (collectively, the "Services").
By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.
If you are accepting these Terms on behalf of a law firm or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Services.
2. Description of Service
VeriMatter is a cloud-based immigration law practice management platform designed for United States immigration law firms. The Services include:
- Immigration Portal: Case management tools including USCIS-aligned questionnaires, AI-powered document processing, form packet generation, deadline tracking, and client communication features
- Client CRM: Client relationship management, intake workflows, lead tracking, and firm-wide contact management
- Trust Accounting: IOLTA trust account management, operating fund tracking, client ledgers, invoicing, and financial reporting
Important Disclaimer: VeriMatter is a software tool designed to assist licensed attorneys in managing their immigration law practices. VeriMatter does not provide legal advice, does not practice law, and is not a substitute for the professional judgment of a licensed attorney. All legal decisions and representations remain the sole responsibility of the licensed attorney or law firm using the Services.
3. User Accounts and Responsibilities
3.1 Account Registration
To use the Services, you must create an account and provide accurate, complete, and current information. You agree to update your account information promptly to keep it accurate and current.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:
- Use strong, unique passwords and enable multi-factor authentication when available
- Immediately notify VeriMatter of any unauthorized access to or use of your account
- Ensure that all users within your firm's account comply with these Terms
- Manage user permissions and access levels appropriately using the platform's role-based access controls
3.3 Authorized Users
The account administrator for your law firm may grant access to additional authorized users (attorneys, paralegals, staff). The account administrator is responsible for managing user access and ensuring compliance with these Terms by all authorized users.
4. Acceptable Use Policy
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation
- Access or attempt to access another user's account without authorization
- Interfere with, disrupt, or compromise the security or integrity of the Services
- Reverse engineer, decompile, or disassemble any part of the Services
- Use automated tools (bots, scrapers) to access the Services except through approved APIs
- Upload or transmit malicious code, viruses, or any harmful materials
- Resell, sublicense, or provide access to the Services to third parties without our written consent
- Use the Services in a manner that could damage, disable, or impair the platform
- Misrepresent your identity or affiliation with any person or entity
5. Intellectual Property
5.1 VeriMatter's Intellectual Property
The Services, including all software, designs, text, graphics, interfaces, and underlying technology, are owned by VeriMatter and are protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the term of your subscription.
5.2 Your Data Ownership
You retain all ownership rights to the data you input, upload, or generate through the Services ("Your Data"). VeriMatter does not claim ownership of Your Data. We process Your Data solely to provide the Services and as described in our Privacy Policy.
You grant VeriMatter a limited license to use, store, and process Your Data solely as necessary to provide, maintain, and improve the Services. This license terminates when your account is closed and Your Data is deleted in accordance with our data retention practices.
6. Payment Terms
6.1 Subscription Fees
Access to the Services requires a paid subscription. Fees are based on the plan selected and the number of authorized users. All fees are quoted in United States dollars unless otherwise specified.
6.2 Billing and Payment
Subscription fees are billed in advance on a monthly or annual basis, depending on the billing cycle you select. You authorize VeriMatter to charge your designated payment method for all applicable fees. Payments are processed through secure third-party payment processors.
6.3 Price Changes
VeriMatter reserves the right to modify subscription fees upon reasonable notice. Price changes will take effect at the start of your next billing cycle following the notice. Continued use of the Services after a price change constitutes acceptance of the new fees.
6.4 Refunds
Subscription fees are generally non-refundable except as required by applicable law or as otherwise stated in your subscription agreement. If you believe you are entitled to a refund, please contact our support team.
7. Confidentiality and Data Handling
7.1 Attorney-Client Privilege
VeriMatter recognizes the paramount importance of attorney-client privilege. We design and operate our Services to support — never to undermine — this foundational principle of legal practice. Data stored within VeriMatter that is subject to attorney-client privilege remains privileged. VeriMatter's access to such data for the purpose of providing the Services does not constitute a waiver of privilege.
7.2 Immigration Case Data Sensitivity
We understand that immigration case data involves highly sensitive personal information including immigration status, national origin, family relationships, and other details that require the highest degree of protection. We handle all such data with corresponding care, as further described in our Privacy Policy and Security documentation.
7.3 Data Portability
Your firm owns its data. You may export Your Data from the platform at any time in standard, machine-readable formats. Upon termination, we provide a reasonable period for you to export Your Data before deletion.
7.4 IOLTA and Trust Account Data
Trust accounting data is subject to additional protections and logical isolation within our platform. We maintain strict separation between trust and operating fund data in accordance with state bar requirements for IOLTA compliance.
8. Service Availability
VeriMatter strives to maintain high availability of the Services. We target 99.9% uptime for the platform, excluding scheduled maintenance windows. We will provide reasonable advance notice of scheduled maintenance that may affect availability.
We reserve the right to temporarily suspend access to the Services for maintenance, updates, or to address security concerns. We will make reasonable efforts to minimize disruption and provide advance notice when possible.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERIMATTER, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
VERIMATTER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO VERIMATTER DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE FOREGOING LIMITATIONS APPLY EVEN IF VERIMATTER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
10. Indemnification
You agree to indemnify, defend, and hold harmless VeriMatter, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any data or content you submit, upload, or transmit through the Services.
11. Termination
11.1 Termination by You
You may cancel your subscription and terminate your account at any time through your account settings or by contacting our support team. Cancellation will take effect at the end of your current billing period.
11.2 Termination by VeriMatter
VeriMatter may suspend or terminate your access to the Services if:
- You materially breach these Terms and fail to cure such breach within 30 days of written notice
- Your account has an outstanding balance that remains unpaid for more than 30 days
- Continued provision of the Services to you would violate applicable law
- Your use of the Services poses a security risk to the platform or other users
11.3 Effect of Termination
Upon termination, your right to access and use the Services will cease. You will have a reasonable period (not to exceed 90 days) to export Your Data. After this period, Your Data will be deleted in accordance with our data retention practices. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) shall survive.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction and venue of such courts.
13. Dispute Resolution
In the event of any dispute arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may initiate binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
The arbitration shall take place in the State of Delaware. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
14. Changes to These Terms
VeriMatter reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and, for existing subscribers, by sending a notification to the email address associated with your account at least 30 days before the changes take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Services.
15. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and VeriMatter regarding the Services.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: The failure of VeriMatter to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. VeriMatter may assign these Terms without restriction.
- Force Majeure: VeriMatter shall not be liable for any failure or delay in performing obligations under these Terms due to circumstances beyond its reasonable control, including natural disasters, acts of government, or internet service disruptions.
